Nicco Terms of Service
DRAFT — NOT YET PUBLISHED. Version number is assigned on approval. This is a working draft prepared for review, not legal advice, and it has not been reviewed by a lawyer. Several clauses below are flagged [COUNSEL] because they turn on facts only a lawyer who knows the business can settle: entity and jurisdiction, whether any activity approaches broker-dealer territory, and the liability position on introductions. Publish with tools/publish-agreement.mjs terms, which assigns the version, records the content hash, and supersedes the previous version. Audited against what the software does on 2026-09-09; every mechanism named below is built unless it says otherwise.

1. What Nicco is
Nicco helps people find warm paths to other people. You tell Nicco about your professional network — by copying nicco@niccohq.com on emails you were already sending, by sending a connections export, by sending it a transcript of a conversation you recorded, or by forwarding it emails from your own history — and Nicco tells you and the people you have chosen to help who in that network is worth an introduction, why, and who can make it.
Nicco does not make introductions on your behalf. It surfaces a path, drafts the introduction for you to send from your own account, and, at your request, asks the other person whether they are open to it. A human always decides whether to make the introduction and always sends it. This is deliberate and is the core of how the service works.
Nicco is provided by Nicco HQ Inc., a North Carolina corporation and a wholly owned subsidiary of LiveVested, LLC, a Delaware public benefit limited liability company that also operates as Incolo (incolo.io).
[COUNSEL: entity chain confirmed by Will 2026-08-26. Still needed: registered address, and whether the parent must be named in these terms at all. Naming it is a deliberate choice - Nicco's product promise is that it is a vendor to Incolo rather than part of it, and a terms document that buries the parent reads as concealment while one that leads with it invites the opposite confusion.]
2. Who may use it
You must be at least 18 and able to enter a binding contract. You must use Nicco in a professional capacity. If you are using Nicco on behalf of an organization, you confirm you are authorized to bind that organization to these terms.
3. Your account
During the beta, you join by emailing nicco@niccohq.com and asking to; Nicco sends these terms and the privacy policy, and your account opens when you reply that you agree. You may be added to Nicco before you have an account so that context sent by others can be attached to you — but nothing is readable and no data of yours is shared until you have accepted these terms. Until then the account is inert.
You are responsible for what happens under your account and for keeping access to your email secure, because email is how Nicco identifies you.
Additional addresses. You may add other email addresses to your account. Each must be verified from that address before Nicco will use it: Nicco sends a one-time code to the address you already hold and another to the new one, and both must be returned. You may tell Nicco what the address is for. Nicco replies to the address a message came from. If an address belongs to an employer, a client, or any organization whose mail system you do not control, then by writing to Nicco from it you are choosing to have Nicco's replies, including any information about other people they contain, delivered into that system, and you are responsible for being permitted to do so. Nicco records that choice when you make it. [COUNSEL: whether the owner of a corporate mailbox becomes a recipient or a processor of Nicco data when a user directs replies there, and whether placing that responsibility on the user is enforceable under GDPR/UK GDPR.]
4. What you contribute, and what Nicco may do with it
4.1 Your own information
You may share information about yourself and about your own relationships — who you know, where you have worked, who you have introduced to whom. That is your information to share.
4.2 Information about other people
When you copy Nicco on an email, or send a connections export, Nicco receives information about people who are not Nicco users and have not agreed to anything. Nicco treats that information under a strict split:

You control this per person. You can exclude anyone from being surfaced at all, and an exclusion overrides every sharing setting, now and in future.
Nicco does not add a person to a shared directory because you know them. Someone who has never heard of Nicco does not become a public profile in it.
4.3 Recorded conversations
When you send Nicco a transcript of a conversation, Nicco reads it into individual statements, each tied to the exact words it came from, and keeps them private to you and to the people you copied on the email that carried it. Nicco replies with what it recorded and to whom.
- Your own statements are yours to share more widely, by telling Nicco
which. The other person's statements can be shared only by them.
- **Nicco does not record negative statements about people who were not on
the call.** Someone described in their absence cannot answer and did not agree to be described.
- Private statements may inform which introductions Nicco suggests to the
people who may read them. They are never repeated to anyone who may not.
- You confirm you had the consent you needed to record the conversation and
to share it with Nicco.
4.4 Introduction asks
If you ask Nicco to, it will ask another Nicco user whether they are open to an introduction to a person you spoke with. That message names the person, includes their public professional profile where Nicco has one, says in a few sentences what they are doing as recorded in your conversation, and says why the introduction might be worth their time. It goes only to people who have a Nicco account, and it goes out only because you asked. The introduction itself is still yours to write and send.
4.5 What you promise
You confirm that you have the right to share what you share, that you obtained it lawfully, and that sharing it does not breach an agreement you are under — for example a confidentiality obligation to an employer, a fund, or a portfolio company.
You must not upload information you were given in confidence and are not free to pass on. [COUNSEL: review whether this allocation of responsibility is appropriate and enforceable, particularly for users subject to fiduciary or NDA obligations.]
5. What Nicco will not do
- Nicco will not sell your data.
- Nicco will not use your data to train AI models, and its AI providers are
contracted not to train on it either.
- Nicco will not require access to your whole mailbox. Nicco sees only what you
choose to copy it on or forward to it. This is a design commitment, not just a policy.
- Nicco will not share private contact details across accounts.
- Nicco will not make an introduction on your behalf without your decision.
6. Introductions and outcomes
Nicco identifies possible paths. It does not guarantee that a path is warm, that an introduction will be made, that anyone will respond, or that anything will come of it. Whether to make an introduction, and how, is always a human judgment — yours or the introducer's.
Nicco is not a party to any introduction and takes no fee or commission on capital raised. Nicco does not solicit investment, does not recommend investments, and does not act as a broker, dealer, finder, or placement agent. Nothing in the service is investment advice.

Confirm the wording places the service clearly outside broker-dealer registration requirements, and that no current or planned feature — particularly any referral or affiliate arrangement — creates transaction-based compensation on a capital introduction.]
7. Automated processing
Nicco uses AI to read the emails you copy it on, to categorize them, to draft replies, to read recorded conversations into statements, and to suggest introductions.
AI output is treated as a suggestion, not a fact. Every statement Nicco extracts carries the exact words it came from, and a statement the AI cannot quote is discarded by the software. Nicco uses those statements to suggest introductions to you and to the person who sent the conversation; every suggestion cites the statements it rests on, and Nicco does not suggest what it cannot cite. Nothing is shared more widely, and nothing is added to the shared graph, without a person's decision: yours, the other person's, or a reviewer's, and that decision is recorded. Nicco records which information came from a model and which came from a human.
You may ask for human review of any automated decision that materially affects you.
8. Fees
[COUNSEL / BUSINESS: not yet set. The current model is credits against a metered allowance, with contributions to the shared graph free. This section must be completed before charging anyone.]
9. Ending it
You may stop using Nicco at any time and ask for your account to be closed.
Withdrawing your agreement to these terms suspends your access, because these terms are the basis on which Nicco holds your data.
On closure Nicco will delete or archive your data as set out in the Privacy Policy. Information you contributed that has already been shared with others — an introduction you made, a path someone acted on — may remain in their records.
10. Changes
Nicco may revise these terms. Each revision is published as a new numbered version with a permanent record of its exact text. Material changes require your agreement before they apply to you — Nicco will not treat continued use as acceptance of a material change.
Every version, and the exact text you agreed to, remains on record.
11. Liability
[COUNSEL: standard limitation, cap, and exclusions to be drafted. Note the specific exposure worth thinking about: a wrong or stale path could cause a user to approach someone on a false premise, and a data-handling failure could expose a third party who never used the service.]
